These Terms govern your use of Local AI Ranking. By signing up you agree to be bound by them.

1. Agreement to Terms

These Terms and Conditions govern access to Local AI Ranking, an AI-powered platform operated by Yoja Studios LLC for local business visibility, reputation management, customer engagement, and business automation.

By signing up for, accessing, purchasing, or using our services, you agree to be bound by these Terms. If you don't accept them, don't use the service.

The agreement includes these Terms, the Privacy Policy, and any order form, invoice, subscription agreement, or checkout page.

2. Description of Services

Local AI Ranking provides tools including:

Review monitoring across Google, Facebook, and other platforms
Automated customer engagement via SMS, MMS, email, and WhatsApp
AI-powered review response generation
Feedback forms and QR/NFC review collection tools
NFC-enabled physical review products
Local SEO visibility and search grid analysis
Reputation analytics and sentiment analysis
Review widgets for websites
Customer contact capture and list building
Campaign management for opt-in audiences
POS, CRM, and workflow integrations
Business automation services

Changes to services

We may modify, update, add, remove, suspend, or discontinue features with reasonable notice when practical.

3. Client Responsibilities

3.1 Compliance with SMS, MMS, Email, WhatsApp, and Messaging Laws

You're solely responsible for ensuring all phone numbers, email addresses, and contact information used in campaigns belong to people who consented to receive communications from your specific business.

You must comply with applicable laws including the TCPA, CAN-SPAM Act, CTIA guidelines, Florida Telephone Solicitation Act, state privacy laws, and carrier rules.

Business-Specific Consent Requirement: Consent must be obtained specifically for the business sending the message. Consent may not be sold, rented, shared, transferred, or reused across unrelated businesses.

Prohibited contact list sources include purchased lists, rented lists, scraped data, third-party lead lists without direct consent, POS/CRM exports without SMS consent, and any list lacking affirmative opt-in.

Local AI Ranking is a service provider and technology platform. We do not independently verify the consent status of every phone number, email address, or contact you provide.

All SMS/MMS campaigns must support opt-out. Recipients can reply STOP or HELP. You must also honor opt-out requests made through any reasonable method, including direct messages, email requests, phone calls, voicemail, or informal language.

3.2 Customer Engagement and Marketing Campaigns

Use engagement tools only for lawful, consent-based communications including review requests, follow-ups, appointment reminders, promotions, and loyalty messages.

Promotional or marketing SMS/MMS messages require appropriate express written or documented consent. Other message types may use verbal consent where legally sufficient.

You are responsible for maintaining proof of consent, including opt-in source, timestamp, consent language, and opt-out status, where applicable.

3.3 Compliance with Review Platform Policies

All review activities must comply with Google, Facebook, and other platform policies.

You agree that:

Reviews must reflect genuine customer experiences
No fake, misleading, or fraudulent reviews
You must not offer incentives, discounts, gifts, loyalty points, free products, or other benefits in exchange for reviews
No pressure to leave reviews on shared devices
No requests for specific content, ratings, keywords, or staff names
No suppression of negative reviews
AI-generated review responses must be reviewed and approved by you or your authorized representative before publication unless you have specifically enabled an approved automatic posting workflow

3.4 AI-Generated Content

The platform uses AI to generate suggested responses, campaign drafts, audit reports, and summaries.

You acknowledge and agree that: AI-generated content is provided as a suggestion. You are responsible for reviewing, editing, approving, and publishing any AI-generated content.

AI-generated content may contain inaccuracies, omissions, inappropriate tone, or information that does not apply to your business.

You're solely responsible for accuracy, legality, compliance, and appropriateness of published content. If you enable any automatic or semi-automatic AI workflow, you accept responsibility for the content produced and actions taken through that workflow.

3.5 Accurate Business Information

Provide accurate and current business information including legal name, address, phone, website, EIN/tax ID, category, and authorized contacts. This information supports carrier compliance, messaging registration, payment processing, and integrations.

Update information promptly when changes occur.

3.6 Acceptable Use

Don't use the platform to:

Send unsolicited messages to non-opted-in individuals
Send spam, phishing, fraudulent, or deceptive content
Use purchased, rented, scraped, or unauthorized contact lists
Generate or solicit fake reviews
Violate laws, carrier rules, or platform policies
Harass, threaten, defame, abuse, or harm others
Infringe intellectual property or privacy rights
Circumvent filtering, compliance systems, rate limits, or security controls
Reverse engineer, decompile, copy, or resell the platform
Share or sublicense services
Use for prohibited or high-risk cases without written approval

4. Privacy Policy and End Customer Data

You're responsible for maintaining your own privacy policy with customer-facing disclosures including:

Your business may send SMS/MMS, email, WhatsApp, and promotional communications
Local AI Ranking and providers may act as service providers
How customers can opt out
How customer data is used, stored, and protected
That mobile phone numbers and SMS consent are not sold, rented, shared, or transferred to third parties for their own marketing purposes
Other legally required disclosures

Our role

Local AI Ranking's Privacy Policy governs our relationship with you and our processing of data through our platform.

When we process personal data of your customers on your behalf, we act as a service provider or data processor under your instructions.

5. Fees, Payment, Subscriptions, and Credits

Subscription fees, purchases, setup fees, usage fees, SMS/MMS credits, and overages are billed per your selected plan, checkout page, order form, invoice, or service agreement.

By providing a payment method, you authorize us and our payment processor to charge your payment method for applicable fees.

Unless otherwise stated:

Fees are non-refundable except where required by law
Subscriptions renew automatically until canceled
Cancel according to your account instructions or contact support
Cancellation takes effect at billing period end
Failure to pay may result in suspension or termination of your account or services
You remain responsible for fees incurred before suspension or termination
Pricing may change with reasonable notice

Usage-based features

Usage-based features like SMS/MMS, email, WhatsApp, and AI are limited by plan, credits, or fair use policies. Included usage doesn't guarantee unlimited use. Overages may require additional credits or fees.

6. Third-Party Services and Providers

Services rely on third-party providers. We are not responsible for outages, delays, rejections, policy changes, carrier filtering, third-party errors, or service interruptions caused by third parties.

Providers include:

Twilio and other messaging providers for SMS, MMS, WhatsApp, and registration
Email providers like SendGrid and Brevo
AI providers like OpenAI and OpenRouter
Google services including Business Profile and Maps
Data providers for SEO and analytics
Stripe and other payment processors
Hosting, storage, and infrastructure providers

Third-party terms apply

Your use of our services may also be subject to the terms, policies, and limitations of these third-party providers.

SMS/MMS campaigns may require carrier-approved Toll-Free verification, 10DLC registration, or other compliance approvals. Approval timelines and outcomes are controlled by carriers and providers and are not guaranteed by Local AI Ranking.

7. Intellectual Property

Local AI Ranking and Yoja Studios LLC retain all rights, title, and interest in our platform, software, website, workflows, documentation, templates, branding, designs, content, technology, and related intellectual property.

Your business data, customer contacts, reviews, campaign settings, profile information, and uploads remain yours. You grant a limited, non-exclusive license to process, store, display, transmit, and use that data to provide and support services.

You may not copy, resell, sublicense, reproduce, distribute, modify, reverse engineer, or create derivative works from our platform or materials without written permission.

8. Data Security and Retention

We use reasonable administrative, technical, and organizational safeguards designed to protect information processed through our platform.

Safeguards include:

SSL/TLS encryption in transit
Access controls
Authentication systems
Limited employee/contractor access
Secure API authentication
Logging and monitoring
Vendor review where practical

Limits of security and retention periods

No method of transmission, storage, or processing is completely secure. We do not guarantee absolute security.

We retain account, client, customer, campaign, review, billing, and operational data for as long as needed to provide services, comply with legal obligations, resolve disputes, enforce agreements, maintain records, prevent fraud, and support business operations.

Upon account closure, data may be deleted or anonymized within a reasonable period unless longer retention is required by law, contract, backup systems, dispute resolution, compliance, fraud prevention, or business needs.

9. Service Availability and Limitations

We strive to provide reliable service, but we do not guarantee uninterrupted, error-free, real-time, or permanently available service.

You acknowledge:

Review sync timing varies by platform, provider, API limits, and connection status
SMS/MMS and email delivery depend on provider availability and carrier filtering
AI features depend on third-party availability and may generate imperfect results
Local SEO data varies by source, location, and provider
Third-party integrations may change, break, or require reauthorization
Maintenance, upgrades, outages, or security events may affect availability

Maintenance and updates

We may perform maintenance or updates at any time, with notice when practical.

10. Limitation of Liability

To the maximum extent permitted by law, Local AI Ranking and Yoja Studios LLC shall not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from or related to your use of our services.

This includes damages from:

TCPA, CAN-SPAM, privacy, carrier, or messaging compliance violations from your lists and practices
Review platform penalties, removed reviews, suspended profiles, or policy violations
Inaccurate or inappropriate AI-generated content
Failed, delayed, filtered, blocked, or undelivered messages
Carrier registration issues
Third-party outages, policy changes, or errors
Lost revenue, customers, reviews, data, or reputation

Cap on liability

Our total liability for any claim arising out of or related to these Terms or our services shall not exceed the amount you paid to Local AI Ranking in the three months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Yoja Studios LLC, Local AI Ranking, and their owners, officers, employees, contractors, vendors, and agents from claims, damages, fines, penalties, losses, liabilities, costs, and expenses, including attorney fees, arising from:

Your service use
Your violation of these Terms
Your violation of any law, regulation, carrier rule, or platform policy
Your contact lists, consent practices, campaign content, or messaging activity
Claims by customers, leads, recipients, employees, contractors, or end users
Reviews, responses, AI-generated content, or communications sent on your behalf
Your failure to honor opt-outs or maintain consent records
Your platform or integration misuse

12. Suspension and Termination

We may suspend, restrict, or terminate your account, campaigns, numbers, integrations, or access immediately if we believe:

You violated these Terms
Your activity creates legal, carrier, compliance, platform, security, financial, or reputational risk
Payment failed or remains unpaid
You use unauthorized contact lists
You send spam, deceptive, fraudulent, abusive, or non-compliant messages
You violate review platform policies
A carrier, provider, regulator, or platform requires suspension
Continued service may harm Local AI Ranking, customers, providers, or third parties

Cancellation and effects of termination

Cancel your subscription per plan terms or contact [email protected].

Upon termination, platform access may end. Data may be retained for a reasonable period per these Terms and the Privacy Policy.

13. Dispute Resolution

Before pursuing formal legal action, you agree to first contact us at [email protected] and attempt to resolve the dispute informally.

If unresolved within 30 days of written notice, either party may pursue available legal remedies.

14. Changes to These Terms

Terms may be updated periodically. Material changes will be noted with an updated "Last updated" date and may trigger email or platform notification to active clients.

Continued service use after updates become effective means you accept the updated Terms. If you disagree, stop using the services.

15. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Disputes unable to resolve informally shall be brought in state or federal courts in Broward County, Florida, unless applicable law requires otherwise.

16. Severability

If any provision is found unenforceable or invalid, that provision shall be limited or removed to the minimum necessary extent, and remaining provisions shall remain effective.
